- 0:04Chandrasekaran.
- 0:07Today, he has decided to step down.
- 0:11>> [music]
- 0:18>> Ladies and gentlemen, on 12th of August
- 0:202026, the chairman of Tata Sons wrote a
- 0:23resignation letter that shook [music]
- 0:24the entire Indian stock market and Tata
- 0:27Group lost 47,000 crores in market cap.
- 0:31>> N. Chandrasekaran has stepped down as
- 0:34chairman of Tata Sons.
- 0:37>> Companies wiped out [music] 4 and 1/2
- 0:39billion dollars in market value on
- 0:41Wednesday.
- 0:42>> All of the entities of the [music] Tata
- 0:43Group that are listed are losing ground
- 0:45in trade today.
- 0:50>> In the last 9 years under N.
- 0:52Chandrasekaran, Tata Group added 15 lakh
- 0:55crores in market cap, which is more than
- 0:57the value of Infosys, [music] LIC, and
- 0:59HUL combined. He joined TCS as a trainee
- 1:02software engineer in 1987. Ratan Tata
- 1:05handpicked him 30 years later and under
- 1:07his leadership, [music]
- 1:08the profit of the Tata Group exploded
- 1:10five times from 34,900 crores to 1.7
- 1:14lakh crores. He bought Air India back,
- 1:16is building India's first commercial
- 1:18semiconductor factory, is building a
- 1:20battery [music] gigafactory in the
- 1:21United Kingdom, and he tripled the value
- 1:23of Tata Group from 8.22 lakh crores to
- 1:2623.35 lakh crores.
- 1:30>> [music]
- 1:33>> No salaried professional in the history
- 1:35of Indian business has ever created this
- 1:37much value for people.
- 1:40So, on paper, this is the greatest
- 1:42leadership run India has ever seen.
- 1:44But, on 12th of August 2026, this man
- 1:47had to write a resignation letter
- 1:49refusing a third term. And this
- 1:51resignation letter later exposed a
- 1:53deep-rooted conflict in the the Group.
- 1:55And it is so critical that [music] it
- 1:57will determine the future of Air India,
- 1:59the semiconductor factory, and every
- 2:01long-term bet that Tata Sons has taken
- 2:03for the future of India. The question
- 2:05is, why did the greatest corporate
- 2:07leader of India resign?
- 2:09>> [music]
- 2:09>> What exactly is the conflict in the Tata
- 2:11Group? And how will this affect the
- 2:12future of the most legendary business
- 2:14house in India?
- 2:16Guys, before we move on, I want to

- 3:51week, you need to understand the unique
- 3:53structure of the Tata Group. You see,
- 3:55most large companies in the world are
- 3:56owned by shareholders, mutual funds,
- 3:59founders, or their families.
- 4:01Reliance is controlled by the Ambanis,
- 4:03Adani Group is controlled by the Adanis,
- 4:05and Infosys is owned by public
- 4:07shareholders and founder families. But
- 4:08the Tata Group is structured
- 4:10differently. In this structure, layer
- 4:12one is Tata Sons, where two major Tata
- 4:14charities alone own more than half of
- 4:16Tata Sons. Sir Dorabji Tata Trust owns
- 4:1827.9%
- 4:20Sir Ratan Tata Trust owns another 23.6%.
- 4:23Together, that's 51.5%.
- 4:25>> [music]
- 4:26>> And when you add the other Tata Trusts,
- 4:28which own 14.5%,
- 4:30the Tata Trusts collectively control
- 4:32around 66% of Tata Sons. Then you have
- 4:35the Mistry family Shapoorji Pallonji
- 4:36Group, which owns 18.4%.
- 4:39The remaining 15.6% is held by Tata
- 4:41companies, family members, and others.
- 4:44And both these [music] Trusts
- 4:45established entities like IISc, TISS,
- 4:48and Tata Memorial Centre. This entity
- 4:50makes nothing and sells nothing. It has
- 4:53no factory, no product, and no customer.
- 4:56All it does is hold shares in other
- 4:58companies and collect dividends. So, if
- 5:00money has to move from TCS to Air India,
- 5:03it moves through Tata Sons.
- 5:05Now, Tata Sons owns two types of
- 5:07entities. The first type of entities are
- 5:09the 26 listed companies. So, Tata Sons
- 5:12owns 71.7% of TCS, 31.8% of Tata Steel,
- 5:1720.8% of Titan, and so on and so forth.
- 5:20The second type of entities are the 16
- 5:22private companies that are not listed.
- 5:25This group includes Air India, Tata
- 5:27Electronics, Tata Digital, and Tata
- 5:29Project like companies.
- 5:31These companies do not have outside
- 5:33shareholders. Now, this is a mechanism
- 5:35that I want you to remember because this
- 5:36entire conflict is on the basis [music]
- 5:38of this mechanism.
- 5:39Now, in normal companies, ownership and
- 5:41control sit with the same person. But in
- 5:44Tatas, the ownership sits with the
- 5:46charities, and the control gets
- 5:48negotiated between a boardroom and a
- 5:49philanthropic body. But, the question is
- 5:51this has been the case for 100 years
- 5:52now. So, why did the problem start now?
- 5:55Well, that is because for 21 years,
- 5:57Ratan Tata was the chairman of Tata Sons
- 6:00and chairman of Tata Trust
- 6:01simultaneously. But, when Ratan Tata
- 6:03retired in 2012, and the moment these
- 6:05two chairs went to two different people,
- 6:07the fault line inside Tata Sons started
- 6:10appearing. If this is clear, let's
- 6:12understand where did the internal battle
- 6:14in the house of Tata [music] start.
- 6:16Now, like I told you in the intro,
- 6:18Chandra sir has a stellar record of
- 6:20increasing the group's value by three
- 6:21times, its profit by five times, and he
- 6:23made great moves by acquiring Air India
- 6:25and building the semiconductor factory.
- 6:27So, this seems perfect, right? Why would
- 6:29anybody object to this stellar record?
- 6:31Well, as it turns out,
- 6:33>> [music]
- 6:33>> underneath those trophy headlines, there
- 6:35were troubles that were shaking the Tata
- 6:36Group. Crack number one was the 47,000
- 6:39crore Air India black hole. You see, Air
- 6:41India was supposed to be the crown of
- 6:43Chandra's tenure. But, since the Tatas
- 6:45took over Air India in January 2022, Air
- 6:48India has accumulated [music] about
- 6:4947,821
- 6:51crores in losses. And while Air India
- 6:53was supposed to become profitable by
- 6:542027, Chandra sir is now telling the
- 6:57world that Air India will be profitable
- 6:59in the next 5 to 10 years. Now, if
- 7:01you're a trustee whose primary job is to
- 7:03find cancer research,
- 7:05>> [music]
- 7:05>> and your chairman's project burns 22,000
- 7:07crores a year, what do you do? You start
- 7:10asking hard questions. This is exactly
- 7:13what Noel Tata did. Crack number two is
- 7:15the AI meltdown at TCS.
- 7:18Now, if you remember, TCS was Chandra's
- 7:20home. He had run it for eight years, and
- 7:22TCS was the cash cow that funded Air
- 7:24India's losses and Tata Electronics
- 7:26investment. And then, the AI wave hit
- 7:29the IT sector.
- 7:32>> Active job demand in India's technology
- 7:34sector hit a 28-month low in June of
- 7:372026. [music]
- 7:38>> India's biggest software companies are
- 7:40staring at this huge structural shift.
- 7:44>> [music]
- 7:45>> In FY26 itself, TCS reported its
- 7:47first-ever revenue decline since its
- 7:49listing in 2004. Its adjusted net profit
- 7:52only rose by 3.5%.
- 7:54Its market capitalization fell by 37%
- 7:57and TCS had to let go of 12,000
- 8:00employees in the last 1 year. Why? Well,
- 8:03you already know it from our IT crisis
- 8:05case study.
- 8:06Now, look at how important TCS is. TCS
- 8:09[music] makes 52,000 crores in profits,
- 8:11which is more than Tata Steel, Tata
- 8:13Power, Tata Capital, Tata Motors
- 8:15combined. Now, imagine you are the
- 8:17trustee sitting in a February 2026
- 8:19meeting. Your cash cow is bleeding and
- 8:21your airline is also bleeding. And the
- 8:23man asking for a five-year extension is
- 8:25the same man responsible for all this.
- 8:28This was crack number two. Crack number
- 8:30three came from Tata's 31,000 crore
- 8:33private side losses. You see, Tata Sons
- 8:35has 16 privately held businesses.
- 8:38In FY26, they together lost 31,822
- 8:42crores. Air India lost 22,213 crores.
- 8:45Tata Digital lost 4,900 crores. [music]
- 8:47Tata Electronics lost 1,600 crores. And
- 8:50Tata Play lost 550 crores. And there
- 8:52were several other companies that also
- 8:54lost money. This is the reason why the
- 8:56Tata Trust chairman, Noel Tata, put the
- 8:58objections. [music] Now, I thought this
- 9:00is where the story ends. But as it turns
- 9:03out, this was just the beginning. There
- 9:05was something else that Noel Tata wanted
- 9:07Chandra to sign. The question is, what
- 9:09was this document and why was it such a
- 9:11big problem?
- 9:12>> [music]
- 9:13>> Well, strangely, this problem stems from
- 9:15the RBI. As it turns out, the Reserve
- 9:17Bank of India wants Tata Sons to go
- 9:19public. As in, it wants it to be listed
- 9:22in the market. And that public listing
- 9:24is what actually killed Chandra's third
- 9:26term. Let me explain. Tata Sons, the
- 9:29private holding company that owns all
- 9:31the Tata Group businesses, was
- 9:32classified by the RBI as an upper layer
- 9:35NBFC or a non-banking financial company.
- 9:39And under the RBI rules, the upper layer
- 9:41NBFCs must list on the stock exchange
- 9:44within a set time frame. Meaning,
- 9:46[music] the private unlisted family and
- 9:48charity owned holding company at the top
- 9:50of the entire Tata pyramid would have to
- 9:53become a publicly traded stock where
- 9:55retail investors like you and me can buy
- 9:57and sell shares. And this is what Noel
- 9:59Tata does not want. But the question
- 10:01over here is, what exactly is a problem
- 10:04with listing Tata Sons in the stock
- 10:05market? They'll be worth billions of
- 10:07dollars. Tata Sons will also have
- 10:09liquidity to borrow billions and take
- 10:11out billions whenever they need it. So,
- 10:13what exactly is the problem with
- 10:14listing?
- 10:15Well, there could be one major reason
- 10:17why Noel Tata does not want to list Tata
- 10:19Sons. [music]
- 10:20You see, Tata Sons is a container that
- 10:22holds multiple Tata companies. And it
- 10:24does one job very, very, very well. It
- 10:26takes money from the companies that earn
- 10:28money and hands it to the ones that lose
- 10:30money. For example, now TCS sends 28,000
- 10:33crores a year in dividends, which Tata
- 10:35Sons pours into Air India and
- 10:37semiconductor factory, both of which
- 10:39will lose thousands of crores till
- 10:412030s. And since it's a private company,
- 10:44this decision is made by a handful of
- 10:46people in a room and it takes one day.
- 10:49But if Tata Sons gets listed, then it
- 10:51will have thousands of shareholders. And
- 10:53now, if Tata Sons decides to pour 20,000
- 10:57crores in a loss-making Air India, the
- 10:59money cannot move until the shareholders
- 11:02approve it. Now, here's the catch.
- 11:04Tata Trust owns 66% is barred from
- 11:07voting because they are the promoter.
- 11:09And only the minority shareholders, as
- 11:11in people who hold less than 10%, are
- 11:13allowed to vote. This might include the
- 11:15mutual funds, LIC, and lakhs of people
- 11:18who bought the shares of Tata Sons. And
- 11:20if they do not allow, Tata Sons will not
- 11:23be able to fund Air India or the
- 11:25semiconductor factory. And then, Air
- 11:27India will have to borrow from banks.
- 11:29And as you all know, no bank will fund a
- 11:32company losing 20,000 crores. No bank
- 11:35will fund a semiconductor factory that
- 11:37will not make money for the next 10
- 11:38years.
- 11:39This is the reason why Tata Sons won't
- 11:41be able to take long-term bets even
- 11:43though they can pay off dividends in the
- 11:45next 10 to 20 years.
- 11:47So, do you realize Tata Trust holds 66%
- 11:50of Tata Sons and the whole point is that
- 11:53the dividend funds philanthropy and not
- 11:55shareholders.
- 11:57But listing lets outsiders in and they
- 11:59have to keep explaining each move as if
- 12:01they're doing something wrong. This will
- 12:03again lead to headlines and more
- 12:05problems.
- 12:06Now, imagine you are Noel Tata and you
- 12:08are being told by the central bank to
- 12:10open [music] the doors and let strangers
- 12:12walk into your holy trust. This could be
- 12:14a major reason why Noel Tata says that
- 12:17we do not ever want to list Tata Sons
- 12:19and whoever is the chairman of Tata Sons
- 12:21must guarantee in writing that they will
- 12:24[music] not push for the listing.
- 12:26And this is where Chandra sir had an
- 12:27objection. Now, look at Chandra sir's
- 12:29position. Chandra had a fiduciary duty
- 12:32to Tata Sons minority shareholders
- 12:34including the Shapoorji Pallonji Group
- 12:35>> [music]
- 12:36>> and the Shapoorji Pallonji Group has
- 12:37been trapped inside Tata Sons for
- 12:39decades. Their stake was reportedly
- 12:41worth tens of [music] thousands of
- 12:42crores, but they cannot sell it because
- 12:45it's not listed and a listing would give
- 12:47them liquidity and possibly an exit. So,
- 12:49the trust wanted no listing guaranteed
- 12:51and Chandra [music] said he couldn't
- 12:53give that guarantee. This is where the
- 12:55disagreement emerged.
- 12:56>> [music]
- 12:57>> It's not about TCS, it's not about Air
- 12:59India, it's about this RBI listing
- 13:01mandate.
- 13:02Now, do you realize what this actually
- 13:03is? This is a disagreement over who owns
- 13:06India's most powerful corporate group in
- 13:08the 21st century. If it lists, the
- 13:10market owns it. If it doesn't, the
- 13:12charities own it. And in the middle
- 13:14stood a TCS engineer who refused to sign
- 13:17a piece of paper. This is the story of
- 13:19the Tata Group. So, now the question is
- 13:21what will happen to the Tata Group?
- 13:23Well, either they will get listed or
- 13:25they won't. And all we can say is that
- 13:27all three people in this equation are
- 13:29doing their duty.
- 13:30>> [music]
- 13:31>> The Shapoorji Pallonji Group wants
- 13:32liquidity to save their company from
- 13:34debt. Chandra wants to serve his
- 13:36shareholders, and Noel Tata wants to
- 13:38take long-term bets, and the RBI [music]
- 13:40simply wants to follow the law. So, long
- 13:42story short, only two possibilities can
- 13:43emerge. If Tata Sons gets listed, Noel
- 13:46Tata will have to navigate complex
- 13:48challenges of being a publicly listed
- 13:50company and taking a decade-long bet
- 13:52will invite unnecessary consequences.
- 13:54And if they don't, Tata Sons will be
- 13:56able to take the biggest bets in Indian
- 13:57capitalism and serve the country without
- 14:00public scrutiny. But in that case,
- 14:02>> [music]
- 14:02>> Shapoorji Pallonji will be in deep
- 14:04trouble because they are under a massive
- 14:06debt, and this listing is the fastest
- 14:08way out of this crisis. This is the
- 14:10story of the disagreement of the
- 14:12greatest business house in India. Now,
