  1. 0:01You’re in luck. You’ve just landed
  2. 0:04a new SEO client. They’ve made the
  3. 0:07first payment, sent over all the
  4. 0:09documentation, and there’s just one
  5. 0:11small detail left. The contract, as
  6. 0:15cumbersome as it is necessary, and you
  7. 0:18might be tempted to skip it to avoid
  8. 0:20spoiling this great moment, or worse,
  9. 0:23ask for a signature via WhatsApp. A
  10. 0:28blurry signature that, if problems
  11. 0:30arise, proves absolutely nothing, and
  12. 0:33that’s not even the worst part,
  13. 0:36because if you do rank and rent without
  14. 0:39a contract mentioning leads, the day
  15. 0:41the client digs in their heels,
  16. 0:44you’re completely sold out. Pay close
  17. 0:47attention. According to Ahrefs, eight
  18. 0:49out of 10 SEO professionals already
  19. 0:52work with contracts, so if you’re in
  20. 0:55the group that doesn’t, this video is
  21. 0:58for you. I’m Matias Romero from Gin
  22. 1:01Academy, and today I’m going to show
  23. 1:03you which clauses your SEO contract
  24. 1:06must include so you don’t lose money.
  25. 1:10And we’ll look at all its forms:
  26. 1:12monthly SEO, local SEO, and rank and
  27. 1:15rent. I’m going to show you how to
  28. 1:18generate and sign it with legal
  29. 1:20validity in just a few minutes. And
  30. 1:22stay until the end because I’ll show
  31. 1:26you how you can do it completely for
  32. 1:29free. So let’s get started. We’ll
  33. 1:46start with the standard SEO contract,
  34. 1:48the traditional one. I want you to keep
  35. 1:52one idea in mind: a good contract isn't
  36. 1:54the one that sounds the most legal,
  37. 1:57it’s the one that keeps you from
  38. 1:59working for free. So the first clause,
  39. 2:03and the one that will save you the most
  40. 2:06money, is the scope of work. In case
  41. 2:09you don’t know, what do I mean by
  42. 2:10that? The scope is the list of what you
  43. 2:13, as a professional, agree to do; that
  44. 2:16is, deliverables, in what format, how
  45. 2:18often, and what depends on the client.
  46. 2:22And why do I say it’s the most
  47. 2:24important for me? Because without it,
  48. 2:27the famous "since we're at it, touch up
  49. 2:30my website,""since we're at it, run my
  50. 2:33socials,""since we're at it, set up a
  51. 2:36campaign" begins, and of course, to
  52. 2:38avoid arguing, you do it, and that’s
  53. 2:41where your entire monthly margin goes.
  54. 2:44At our agency, we see it constantly.
  55. 2:48Extra work often looks so much like the
  56. 2:51included work that if it isn't written
  57. 2:53down, you end up giving it away for
  58. 2:56free. Then we have the objectives,
  59. 2:59those famous KPIs, and here is the
  60. 3:01clause that saves you the worst
  61. 3:03argument of all. You must put in
  62. 3:07writing that you don’t guarantee
  63. 3:09rankings; that is, you don’t promise
  64. 3:12them the number one spot. And this
  65. 3:15isn't to dodge responsibility, it’s
  66. 3:18just that Google itself says it:
  67. 3:20rankings are volatile, and no one can
  68. 3:23guarantee you the first, second, or any
  69. 3:26other position. If you don't include
  70. 3:31that clause, what will likely happen is
  71. 3:33that the client doesn't reach the
  72. 3:35position they expected or the one you
  73. 3:37promised, and they use that very thing
  74. 3:39as an excuse not to pay you. And if you
  75. 3:42don't believe it, let me tell you a
  76. 3:44true story. An SEO professional worked
  77. 3:47for a client for two months. During
  78. 3:50this time, they improved their keywords
  79. 3:52, optimized the website, and basically
  80. 3:54did all the work that needed to be done
  81. 3:57. And do you know what happened? Well,
  82. 4:00the client refused to pay. The reason
  83. 4:03the client used was that the clicks to
  84. 4:06their website hadn't increased enough,
  85. 4:09so two months of work went down the
  86. 4:12drain, unpaid, for lack of a clause
  87. 4:15that would have taken less than two
  88. 4:17lines. Then we have the topic of
  89. 4:20payment. Payment and one key word:
  90. 4:23suspension. Your contract must state
  91. 4:26when you get paid, and more importantly
  92. 4:29, what happens if you don't? It also
  93. 4:32has to give you the right to stop the
  94. 4:34work—that is, to suspend service—if
  95. 4:37the client doesn't pay, because if you
  96. 4:39don't include that, do you know what
  97. 4:41will end up happening? You will most
  98. 4:45likely keep working on credit, meaning
  99. 4:48you're producing for someone who isn't
  100. 4:51paying you, and suddenly, your work has
  101. 4:54turned into a charity. A clause that
  102. 4:57seems to be for the client, but in
  103. 5:00reality is protecting you, is account
  104. 5:03ownership. It is very important that
  105. 5:07you put in writing who owns the
  106. 5:09accounts; for Analytics, Search Console
  107. 5:12, and the Google Business Profile, the
  108. 5:14client is the owner in all of them. In
  109. 5:18other words, you as a professional work
  110. 5:21with permissions, but the accounts are
  111. 5:23theirs. Why does this also protect you?
  112. 5:27Because the day you end the
  113. 5:28collaboration, no one will be able to
  114. 5:30accuse you of holding anything hostage.
  115. 5:33And this, unfortunately, is a very
  116. 5:35common case. There are agencies that
  117. 5:39set up all the client's analytics
  118. 5:42within their own accounts, and of
  119. 5:44course, when the collaboration ends,
  120. 5:47they refuse to grant access to these
  121. 5:50properties; because of this, the client
  122. 5:52loses months or even years of data, and
  123. 5:55the agency risks ruining its reputation
  124. 5:58. And all because it wasn't written
  125. 6:02down from the very beginning who owns
  126. 6:04what. And I'll leave three more clauses
  127. 6:07that, in my opinion, should also be
  128. 6:08included. One is the retention period,
  129. 6:12but it has to make sense, because in
  130. 6:14SEO you need a minimum of months since
  131. 6:16it's organic and happens gradually, but
  132. 6:19this retention must be tied to real
  133. 6:21deliverables, right? Not a PDF
  134. 6:24generated with artificial intelligence
  135. 6:26that you send them automatically every
  136. 6:28month. Then we have the notice period,
  137. 6:31meaning how many days the client needs
  138. 6:33to let you know they don't want to
  139. 6:35renew the service, because without that
  140. 6:38, you'll most likely find out they're
  141. 6:40leaving on the last day, and believe me
  142. 6:42, that's very annoying. Then we have
  143. 6:46the final handoff, meaning what you
  144. 6:48give them when you finish the
  145. 6:49partnership and what you'll charge if
  146. 6:52the client asks for support later on.
  147. 6:54And with this, we've covered what would
  148. 6:57be a standard SEO contract. But if you
  149. 7:00do rank and rent, meaning you build
  150. 7:03websites, rank them, rent them out, and
  151. 7:06sell them or take a commission from the
  152. 7:09leads generated, stay tuned because
  153. 7:11something very, very important is
  154. 7:14coming up. There are five more clauses
  155. 7:17that, if you don't include them, it's
  156. 7:19not just that you'll lose a client, you
  157. 7:21could lose the entire business. In case
  158. 7:24you don't know, rank and rent is
  159. 7:26building a website, ranking it, and
  160. 7:28renting it to a local business or a
  161. 7:30professional in the area in exchange
  162. 7:33for the calls that the website and
  163. 7:35Google profile bring you. On this same
  164. 7:39channel, we have several videos where
  165. 7:41we explain how to explicitly do this
  166. 7:42type of monetization, which also works
  167. 7:45very well. Now, the first clause, and
  168. 7:49it's the most important of all, is that
  169. 7:52the ownership of the domain and the web
  170. 7:54must state in the contract, legally and
  171. 7:57crystal clear, that it's yours, it's
  172. 8:00your property: the domain, the web, the
  173. 8:03code, the forms—basically everything
  174. 8:05is yours. The client is simply renting
  175. 8:10it from you. And why am I telling you
  176. 8:13this? Because the day money starts
  177. 8:15coming in from that website, it's
  178. 8:17possible the client will want to keep
  179. 8:19it. And if it's not in writing that
  180. 8:22it's yours, prepare yourself to have to
  181. 8:24fight for it. Then we have the issue of
  182. 8:27pricing and what counts as a valid lead
  183. 8:29. You have to define what a lead is,
  184. 8:32what is paid for: a phone call, a
  185. 8:34contact form. Basically, make it clear
  186. 8:37what counts and what doesn't. You have
  187. 8:40to give them the right to audit it,
  188. 8:42because otherwise what happens in
  189. 8:44almost every case will happen: 10 calls
  190. 8:47come in, and he tells you no, that only
  191. 8:49three were valid. Then we have the
  192. 8:53issue of exclusivity. If you give him
  193. 8:56exclusivity in his area, you have to
  194. 8:58write it down and also include a clause
  195. 9:00so the client doesn't try to bypass
  196. 9:02your website and keep your leads for
  197. 9:04themselves. Honestly, this is also
  198. 9:07quite common in the industry. The
  199. 9:10fourth clause is one almost nobody
  200. 9:12includes, and it's related to data
  201. 9:14protection. The moment a name, phone
  202. 9:18number, or email enters your form, you
  203. 9:21aren't just doing SEO or positioning
  204. 9:24work; you are handling personal data,
  205. 9:28and you must make it clear who is
  206. 9:31responsible for that data and to whom
  207. 9:34it is being transferred. And now we
  208. 9:38reach the icing on the cake, the fifth
  209. 9:42clause: the limitation of liability.
  210. 9:45This one especially interests you if
  211. 9:48you aren't the one executing the final
  212. 9:50work. Let me explain: if you acquire
  213. 9:53the client and the execution of the
  214. 9:55work is done by another company or an
  215. 9:58external professional, it must be very
  216. 10:01clear in the contract that you are
  217. 10:04responsible for marketing and lead
  218. 10:06generation. And the execution and
  219. 10:09responsibility for the performance of
  220. 10:12this work lie with whoever performs it.
  221. 10:15And why do I think this is so important
  222. 10:17? Because the day your provider fails
  223. 10:21the client or does work with
  224. 10:24malpractice, you shouldn't have to take
  225. 10:27the fall. And with this, chat, you have
  226. 10:31the contract with all its clauses, but
  227. 10:33you're missing the most important thing
  228. 10:35of all: signing it. Right. And here I
  229. 10:39want to go back to the beginning of the
  230. 10:41video, to when I mentioned the WhatsApp
  231. 10:44scribble, as you might be asking
  232. 10:45yourself, "Hey, okay, but doesn't a
  233. 10:47WhatsApp hold validity?" Well, yes, it
  234. 10:50has validity as evidence, but it's not
  235. 10:52something that happens automatically.
  236. 10:55That is to say, an "okay" via WhatsApp
  237. 10:58or a scanned signature can serve as
  238. 11:00proof until the client denies it, and
  239. 11:03then you have to prove that it was
  240. 11:05indeed them who signed it. And you have
  241. 11:09to do this by hiring an expert and
  242. 11:11paying for a process that costs more
  243. 11:14than the money you are owed. A scanned
  244. 11:17signature is ultimately just an image;
  245. 11:19you can copy and paste it, but it
  246. 11:21doesn't prove who signed or when. On
  247. 11:25the other hand, an electronic signature
  248. 11:27with audit trails is something very
  249. 11:29different. Why? Because it saves the
  250. 11:32date, time, IP address, and a unique
  251. 11:35fingerprint of the document. So if
  252. 11:39there’s ever a dispute, the burden of
  253. 11:41proof is in your favor. And with this,
  254. 11:43you need to be very clear about one
  255. 11:45thing. European law on this is very
  256. 11:48clear. A signature is not worth less
  257. 11:50just because it’s electronic or not.
  258. 11:53What changes here isn’t whether
  259. 11:55it’s valid or not; what changes is
  260. 11:58how much it costs you to prove it’s
  261. 12:01actually valid when a problem arises.
  262. 12:05And now that you’re clear on all of
  263. 12:07this, I’m going to show you how you
  264. 12:10can sign an SEO, local SEO, or rank and
  265. 12:12rent contract very simply, in a few
  266. 12:14steps, and totally for free with a tool
  267. 12:17we just launched called Rang Trato. So
  268. 12:20let’s head to the computer and I’ll
  269. 12:22show you. And here we have the tool in
  270. 12:24question. This is Rang Trato, a tool
  271. 12:27created by my partner and friend Edu
  272. 12:29Laborda that works in a very simple way
  273. 12:31, okay? You just have to go to the
  274. 12:34homepage and click on "create free
  275. 12:37contract." As you can see, there is a
  276. 12:39counter here indicating that the first
  277. 12:42500 contracts are completely free. So I
  278. 12:45recommend that if you are really going
  279. 12:47to provide or are already providing an
  280. 12:49SEO service and don't have a contract,
  281. 12:50you should take advantage and do it. Uh
  282. 12:52, that's it. You simply come here,
  283. 12:54click "create free contract," and the
  284. 12:56first thing you have to choose is the
  285. 12:58type of contract: whether it’s for
  286. 13:00SEO, local SEO, or rank and rent. And
  287. 13:02once you’ve chosen, you’ll have to
  288. 13:04go through and answer yes or no
  289. 13:06questions, okay? Uh, the first question
  290. 13:08is whether there will be a minimum
  291. 13:09commitment period. Then there’s
  292. 13:11another one about whether it will
  293. 13:13automatically renew when this initial
  294. 13:15contracted period ends. And many of the
  295. 13:18points that I’ve basically been
  296. 13:19mentioning throughout this video. Here,
  297. 13:22in addition to being able to answer yes
  298. 13:25or no, you can also check this box here
  299. 13:27for yes, always yes, or no, never. This
  300. 13:30way, if you have several contracts you
  301. 13:33need to generate for different clients,
  302. 13:36you won't have to answer all the
  303. 13:39questions again; it will be saved and
  304. 13:42automatically included in the document
  305. 13:45you generate, okay? This is also
  306. 13:47interesting because it saves you time
  307. 13:48and avoids you having to do repetitive
  308. 13:50tasks. Once you finish filling out and
  309. 13:52answering, in this case, all the
  310. 13:54questions, okay? I’ll go through this
  311. 13:57quickly because, as you can see, there
  312. 13:59are quite a lot—more than 30
  313. 14:01questions—but just keep clicking yes
  314. 14:04or no, and don’t worry if you make a
  315. 14:06mistake because I’ll show you how to
  316. 14:09edit it later. In this case, let’s
  317. 14:12keep going, and once you finish
  318. 14:14answering all the questions, you’ll
  319. 14:16come here to fill in the information,
  320. 14:18both for you as a professional and for
  321. 14:21the client. You will also be able to
  322. 14:24specify things like the financial terms
  323. 14:26, the contract duration, and so on.
  324. 14:29Okay? Notice that it's quite
  325. 14:30comprehensive. If any information is
  326. 14:32missing, it won't let you continue, all
  327. 14:34right? I’m just going to enter some
  328. 14:37data here so it lets me move forward,
  329. 14:39but obviously, you should fill it all
  330. 14:41out as accurately as possible, okay?
  331. 14:45Note that once you've filled it in, the
  332. 14:47entire contract will be generated
  333. 14:49automatically, all right? Perfectly
  334. 14:52formatted, ready to be created and sent
  335. 14:55for signature. But what if there’s a
  336. 14:58clause from your yes/no answers that
  337. 15:01you aren’t entirely convinced by?
  338. 15:04Well, you have the option right here to
  339. 15:06review every single clause. You can
  340. 15:10even ask it to explain a clause if
  341. 15:12you're not sure what it means, or if
  342. 15:15you want to modify it to protect or
  343. 15:18balance it for either party. In case
  344. 15:21you feel it's a bit lopsided. So, in
  345. 15:24that sense, you’ll be able to have a
  346. 15:27truly customized contract, even if the
  347. 15:30initial questions might seem a bit
  348. 15:32generic. Beyond the yes or no, you’ll
  349. 15:35be able to personalize it exactly as
  350. 15:37you need. Once everything is clear and
  351. 15:41you have the clauses just the way you
  352. 15:43want them, you come here, click to
  353. 15:46create signature links, and it will
  354. 15:48generate two links: one for you as the
  355. 15:51service provider and one for the client
  356. 15:53, okay? You can open it here and add
  357. 15:57your signature, all right? You can draw
  358. 16:00a squiggle here or type your first and
  359. 16:01last name. You must check that you’ve
  360. 16:04read the contract, understand its
  361. 16:06contents, and clearly agree to sign it.
  362. 16:08And once you sign it, your part is done
  363. 16:11. And here you can see your copy of the
  364. 16:14contract, which, if we scroll down, has
  365. 16:17the signature with the squiggle, the
  366. 16:19exact date and time, and in this case,
  367. 16:22a unique identifier is also generated
  368. 16:24at the top, an encrypted 256 SHA key
  369. 16:26that will also serve as evidence that
  370. 16:29this contract is not duplicated, copied
  371. 16:31, pasted, or tampered with in any
  372. 16:33strange way. Okay, from here you'll
  373. 16:37also be able to print and save it. And
  374. 16:40as you saw before, you also have the
  375. 16:42copy to send to the client. If you go
  376. 16:46back to the main page and go to your
  377. 16:48documents, here you will have the
  378. 16:50different contracts you have prepared
  379. 16:52and their status, if they are completed
  380. 16:54. In this case, I'm missing the
  381. 16:56client's signature, so I can come here
  382. 16:58to review it. And in the client section
  383. 17:01, this is the link that you would have
  384. 17:03to pass to them here. You can't see it
  385. 17:06because the browser bar is a little
  386. 17:07high, but well, there is a link at the
  387. 17:09top that you pass to the client and
  388. 17:11they can sign it even from their mobile
  389. 17:12phone, it will be displayed without any
  390. 17:14issues, okay? Once it is signed, it
  391. 17:17will appear as completed like this one
  392. 17:18here, and at the bottom, there will be
  393. 17:20both signatures with the date and time
  394. 17:22for each, okay? With this, your
  395. 17:26contract would be fully validated and
  396. 17:28it protects both you and the client
  397. 17:31with all the necessary legal evidence.
  398. 17:35And before finishing, I want to talk to
  399. 17:37you about three mistakes I see all the
  400. 17:39time regarding these contracts. Mistake
  401. 17:42number one is thinking that a contract
  402. 17:44scares the client, and that is not the
  403. 17:47case at all. What scares them is if you
  404. 17:50give them a 20-page contract with fine
  405. 17:53print; a contract that is clear and
  406. 17:56short conveys professionalism, meaning
  407. 17:58it helps you close sales, it doesn't
  408. 18:01cool them off. The second mistake is
  409. 18:04wanting to push too hard, including
  410. 18:06disproportionate penalties, lock-in
  411. 18:08periods, or traps in the contract—in
  412. 18:11the end, trying to keep what isn't
  413. 18:13yours. And yes, you might get the
  414. 18:17signature today, but you will be
  415. 18:18killing off recommendations from a
  416. 18:20happy client tomorrow. Also, keep in
  417. 18:24mind that a judge can strike down those
  418. 18:26penalties if they consider them abusive
  419. 18:29. Mistake three: promising rankings to
  420. 18:33close a sale. And we have seen this
  421. 18:36before. It is the gateway to
  422. 18:38non-payment. What you should promise is
  423. 18:41hard work and methodology, but never
  424. 18:43promise rankings. Now you truly have
  425. 18:47the complete bulletproof vest. Clauses
  426. 18:50for your contract plus five extra if
  427. 18:53you use Rank Trato. And a signature
  428. 18:56with evidence, not just a scribble sent
  429. 18:59via WhatsApp. And the best part is that
  430. 19:02you can set it up for free right now.
  431. 19:06Remember, for the first 500 users, Rank
  432. 19:09Trato is totally free, and as you've
  433. 19:11seen, in a few minutes you can have not
  434. 19:14one, but many contracts for your
  435. 19:17clients. Best of all, this protects
  436. 19:19your client as well as your business.
  437. 19:22I’ll leave the link to Rank Trato
  438. 19:24below in the description of this video.
  439. 19:28And if you liked the video as much as
  440. 19:30the tool, I’d appreciate it if you
  441. 19:32left a comment and a like, a thumbs up.
  442. 19:36And remember to subscribe to this
  443. 19:38channel so YouTube notifies you every
  444. 19:40time we upload a video. It might seem
  445. 19:43silly, but more than half of those
  446. 19:45watching these videos aren't subscribed
  447. 19:47, and that’s likely why YouTube
  448. 19:49doesn't notify you when we post a new
  449. 19:51one. So you know, hit the bell,
  450. 19:54subscribe—it doesn't cost anything—
  451. 19:56and I hope you find the Rank Trato tool
  452. 19:59useful. That’s it, see you in the
  453. 20:02next video. Hello. M.
